Corporate law

From incorporation to succession, several stages in the life of a company require an authentic deed and an application to the commercial register. We prepare those stages with you and with your usual advisers.

What we do

  • Incorporation of companies limited by shares, limited liability companies and foundations
  • Capital increases and reductions
  • Amendment of articles of association
  • Conversion, merger and demerger
  • Transfer of registered office
  • Shareholders’ and members’ agreements
  • Business transfer and succession
  • Dissolution and liquidation
  • Certification of signatures and copies

How it works

  1. 01

    Scoping

Legal form, capital, governance, timetable: we start from what you want to do, not from a standard template.

  2. 02

    Preparing the documents

Articles, incorporation deeds, bank confirmations, register applications: we prepare the full set and coordinate with your accountant or tax adviser.

  3. 03

    Signing

The company’s bodies meet at the Étude; the deed is read, explained and signed.

  4. 04

    Commercial register

We file the application and follow the registration through to publication.

What is useful to bring

  • Identity documents of the founders or members
  • A draft of the articles, if one exists
  • The bank’s confirmation regarding the capital
  • The commercial register extract, for an existing company
  • Any shareholders’ agreements in force

FAQ

Company limited by shares or limited liability company?

A limited liability company requires less capital but makes its members publicly identifiable; a company limited by shares offers more privacy and a more flexible transfer of holdings. The choice depends mainly on the number of participants, the capital required and your succession plans.

Is a notary required to set up a company?

Yes for incorporating a company limited by shares, a limited liability company or a foundation, and for most amendments to the articles: the law requires authentic form. A sole proprietorship, by contrast, is registered without a notarial deed.

Can you work with my accountant?

We would rather you did. We handle the notarial side and coordinate our work with your accountant, tax adviser or lawyer.
